1. Definitions
"Company" means UK Trade Windows & Doors Limited, a company registered in England and Wales with company number 16546225, whose registered office is at International House, 64 Nile Street, London N1 7SR.
"Customer" means the person(s) named on the Contract.
"Goods" means windows, doors, and associated products supplied.
"Installation Services" means works carried out by the Company or its approved subcontractors.
"Survey" means the technical survey undertaken prior to manufacture.
"Contract" means the order form, approved survey, these Terms and Conditions, and any documents expressly incorporated.
2. Contract Formation
A binding contract is formed once the Customer signs or digitally accepts the Contract and pays the required deposit. Illustrations, visuals, and examples provided before contract are indicative only. No variation is binding unless confirmed in writing by the Company.
3. Surveys & Existing Building Conditions
Surveys are undertaken solely to measure and specify Goods for replacement within existing openings. The Company is not responsible for redesigning or altering wall build-ups, cladding levels, plaster lines, historic tolerances, or cosmetic alignment unless expressly included. Customer approval of the Survey authorises manufacture.
4. Price, Payment & Completion
Prices include Goods, installation, removal, disposal, and VAT unless stated. A deposit is payable on acceptance. The balance is due on completion.
Completion occurs when Goods are installed in accordance with the approved Survey, are operational, and are compliant with Building Regulations. For contractual purposes, completion aligns with eligibility for Building Regulations certification. Completion shall not be delayed due to minor cosmetic issues or aesthetic preferences.
5. Access & Customer Responsibilities
The Customer shall provide safe, clear, and uninterrupted access to the property. The Customer is responsible for removing fragile items, furniture, blinds, curtains, and valuables. The Company is not responsible for damage to unmarked or unidentified services or pre-existing defects.
6. Installation & Subcontracting
Installation Services may be carried out by approved subcontractors. Minor snagging items do not prevent completion and will be addressed under warranty.
7. Variations & Third-Party Works
Any variation or additional works must be agreed in writing. The Customer shall not appoint third parties to alter the Goods or deduct costs without the Company's written agreement.
8. Warranties & Guarantees
Goods are covered by the manufacturer's warranty. Installation workmanship is covered for a period of ten (10) years. The Company must be given a reasonable opportunity to inspect and remedy any defect.
9. Warranty Exclusions
Warranties do not cover:
- Accidental or impact damage
- Misuse, neglect, or vandalism
- Fair wear and tear
- Damage caused by third parties
- Extreme weather
- Lack of reasonable maintenance
- Cosmetic changes not affecting performance
- Unauthorised alterations
Nothing in these exclusions affects the Customer's statutory rights.
10. Delays & Force Majeure
The Company shall not be liable for delays caused by events beyond its reasonable control including weather, supplier delays, or access restrictions.
11. Limitation of Liability
Liability is limited to the Contract value. Nothing in these Terms limits liability for death or personal injury caused by negligence or affects statutory rights.
12. Cancellation & Bespoke Goods
Cancellation rights apply in accordance with Consumer Contracts Regulations. Goods manufactured to the Customer's specification are non-refundable once production has commenced.
13. Complaints Procedure
Any complaints must be raised in writing. The Company must be given a reasonable opportunity to resolve issues before third-party involvement.
14. Entire Agreement
This Contract constitutes the entire agreement. The Customer confirms no reliance on statements, visuals, or emails not expressly incorporated.
15. Governing Law
These Terms are governed by the laws of England & Wales. Jurisdiction lies with the English courts.
